Terms of Service
Draft, awaiting counsel review. Standard SaaS terms adapted to
Muntin Ledger's specifics. Headings and structure match common
templates so a reviewing attorney can move quickly. Will be paired
with the Master Services Agreement (coming)
for enterprise contracts.

These Terms govern your use of Muntin Ledger, operated by Muntin Digital LLC ("Muntin"). By creating an account or using the service, you agree to them.
1. The service
Muntin Ledger is a software service that reads your vendor invoices and files the extracted data in a searchable ledger you control. You can upload, store, search, review, and export your records. CSV export is included for every subscription tier and is never required to use the product — the ledger is the destination, not a pipe to somewhere else.
Optional connectors to accounting systems (QuickBooks Online, Xero) are a convenience, not a setup prerequisite, and are offered on a limited private-beta basis where available. They are not guaranteed, not part of the core service, and may change or be withdrawn. Nothing in these Terms promises a connector by any particular date.

2. Your account
- You are responsible for keeping your account credentials safe and
for everything that happens under your account.
- You will give us accurate signup information.
- You must be at least 18 years old or the legal age of majority in
your jurisdiction, whichever is higher.
- One person, one account. Multi-user workspaces are allowed; sharing
one login between people is not.
3. Acceptable use
Do not:
- Upload content you do not have the right to process.
- Use the service to violate any law, including export controls and
sanctions.
- Reverse-engineer, copy, or resell the service except as the
open-source license terms permit (see Section 8).
- Probe, scan, or attempt to disrupt the service. If you are a
security researcher, see docs/security.txt.
- Use the service to process invoices for a business you do not own
or are not authorised to act for.
4. Fees, billing, and refunds
- Fees are listed at
muntin.digital/ledger/pricing. Subscriptions
bill monthly or annually in advance via Stripe.
- We will email you before charging if you exceed your tier's
invoice quota; the next 20 invoices process at the next-tier per-doc rate. No surprise bills.
- Refunds: pro-rated on cancellation for annual plans. Monthly
plans are not refunded but are not auto-renewed once cancelled.
- Taxes are your responsibility unless we are required to collect.
5. Your data is yours
- We do not claim ownership of any content you put into the service.
- You grant us a limited license to process your data only as needed
to run the service for you, in accordance with our Privacy Policy and Data Processing Agreement.
- You can export your stored records at any time as CSV from the
product (included on every tier). A full signed-JSON copy of everything you have stored is available on request; we are building self-serve signed-JSON export and will not represent it as self-serve until it ships.
- We delete your data within 30 days of account closure. Where
deletion of stored invoice records depends on a scheduled retention process, we will not represent that data as already deleted before that process has run.
6. The service is provided "as is"
- We make no warranty that the service will be uninterrupted or
error-free, that the extracted data will be 100% accurate, or that it will satisfy your specific compliance needs. Field-level accuracy depends on the quality of the source documents and the underlying open-source engine (docling).
- You are responsible for reviewing extracted data before posting
it to your books. The product surface flags low-confidence fields and invoices the engine could not reconcile; do not skip them.
- Muntin Ledger is a record-keeping tool. It is not accounting,
tax, bookkeeping, audit, or legal advice, and it is not a substitute for a qualified professional. Extraction and the insight verdicts (price-change, possible-duplicate, and similar signals) are informational aids that can be wrong; you are responsible for verifying every figure before you rely on it, pay against it, or file it.
- To the maximum extent allowed by law, Muntin's liability for any
claim arising under these Terms is limited to the amount you have paid us in the 12 months immediately preceding the claim.
7. Termination
- You can cancel any time from your account settings. Your data is
exportable until your subscription ends and is purged 30 days after.
- We can suspend or terminate accounts that violate these Terms or
that put the service at risk. Where possible we give 30 days' notice for non-emergency terminations.
8. Open-source components
Parts of the system are open source under the MIT license, including docling (IBM Research) and tools/pii-scrubber (Muntin; the PII-class redaction library formerly named redaction-middleware). The Muntin Ledger SaaS orchestration layer is not open source.
9. Changes to these Terms
We will email you 30 days' notice of any material change. Continued use after the effective date constitutes acceptance.
10. Governing law
These Terms are governed by the laws of the United States and the State of Delaware (Muntin Digital LLC's home state), without regard to conflict-of-law rules. Disputes are resolved in the state or federal courts located in Delaware. The European customer addendum (in the DPA) carries any local-law overrides for EU customers.
